Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Vial — Peptide Calculator mobile application and the website at theformularie.com (collectively, the "Service"), operated by The Formularie ("we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms include important provisions limiting our liability and requiring binding arbitration of disputes (Section 11). Please read carefully.

1. Eligibility and research-only acknowledgement

You must be at least 21 years old to use the Service.

The Service provides educational and research tools for people who are independently researching peptides. By using the Service, you acknowledge and agree that:

4. User content

You retain ownership of any content you create in the Service (saved protocols, outcome logs, notes). By creating content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content solely for the purpose of providing the Service to you. We do not use your protocol or outcome data for training AI models, marketing to other users, or sale to third parties.

You are solely responsible for the content you create. If you input information that violates someone else's rights or any law, you bear that liability.

5. Intellectual property

The Service, including all software, designs, text, graphics, peptide research summaries, and trademarks, is owned by The Formularie or our licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-transferable license to use the Service for your personal, non-commercial research purposes, subject to these Terms.

You may not copy, modify, distribute, sell, or create derivative works of the Service or its content, except as expressly permitted in these Terms.

6. Termination

You may stop using the Service and delete your account at any time. We may terminate your access immediately, without notice, if we reasonably believe you have:

Upon termination, your access ends, your account is deactivated, and your data is handled per our Privacy Policy. Sections of these Terms that by their nature should survive termination (such as IP, disclaimers, limitation of liability, and arbitration) survive.

7. Disclaimers

The service is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory. We expressly disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

The Service is not a medical device. It has not been evaluated, cleared, or approved by the U.S. Food and Drug Administration or any equivalent regulatory body in any other jurisdiction. It is not intended to diagnose, treat, cure, or prevent any disease or condition.

8. Limitation of liability

To the maximum extent permitted by applicable law, The Formularie, its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, personal injury, or property damage, arising from or related to your use of (or inability to use) the service — regardless of the legal theory, even if we have been advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these terms or the service will not exceed USD $100.

Some jurisdictions do not allow certain limitations of liability or warranty exclusions, so some of the above may not apply to you. In those cases, our liability is limited to the minimum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless The Formularie and its officers, directors, employees, agents, and licensors from any third-party claim, loss, damage, or expense (including reasonable attorneys' fees) arising from:

10. Governing law

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

For any claim not subject to arbitration (Section 11), you and we agree to the exclusive jurisdiction of state and federal courts located in New Mexico, and waive any objection to that venue.

11. Dispute resolution and arbitration

Read this section carefully — it affects your legal rights.

11.1 Informal resolution first

Before filing any formal claim, you agree to contact us at [email protected] with a description of the dispute and a proposed resolution. We will work with you in good faith for 30 days to resolve the matter informally before any formal proceeding.

11.2 Binding arbitration

If informal resolution fails, you and we agree to resolve any dispute arising from these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in New Mexico or remotely. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class-action waiver

You and we agree that any dispute will be resolved on an individual basis and not as a class, collective, or representative action. The arbitrator may not consolidate claims of multiple users.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" at the top and notify you in-app, by email, or both at least 14 days before the new Terms take effect. Continued use after the new Terms take effect constitutes acceptance.

If you do not agree to the new Terms, stop using the Service before the effective date and contact us to delete your account.
